These User Terms and Conditions (“Terms”) govern your access to and use of the Makroy website and any related mobile applications (collectively, the “Platform”), operated by Makroy

These Terms constitute a legally binding agreement between you, whether acting as a buyer, seller, or visitor (“You” or “User”), and Makroy. Please read these Terms carefully before using the Platform. By accessing or using the Platform, you acknowledge that you have read, understood, and agreed to be bound by these Terms.

In addition to these Terms, you should also review and accept Makroy’s Privacy Policy, Seller Agreement (if applicable), Return & Refund Policy, and Product Listing Policy, which are incorporated into these Terms by reference.

Makroy reserves the right to modify or update these Terms at any time. Any changes will be posted on this page and will become effective immediately upon posting. Your continued use of the Platform after such changes constitutes your acceptance of the revised Terms.

1. Conditions for Registration

1.1

You may not access or use the Platform or accept these Terms if:

• You are under 21 years of age, or

• You are not legally permitted to receive services under the laws of the United Arab Emirates or any jurisdiction applicable to you.

1.2

To access certain services on the Platform, you must register and create a user account as a Buyer, Seller, or both.

1.3

Sellers must operate a legally licensed business, unless otherwise permitted by Makroy. Buyers purchasing through consumer checkout features may not require a business license.

1.4

To verify your account, Makroy may request documentation including but not limited to:

• Trade License or Commercial Registration

• Government-issued ID (e.g., Emirates ID or passport)

• VAT Registration Certificate (if applicable)

• Power of Attorney and authorized representative ID (if applicable)

1.5

Makroy reserves the right to approve, reject, suspend, or terminate any user registration at its sole discretion and without obligation to provide reasons.

1.6

By using the Platform, you consent to receiving electronic communications from Makroy, including emails, notifications, and in-platform messages. Such communications satisfy any legal requirement for written communication unless otherwise required by law.

1.7

By uploading, posting, or displaying any content (including product listings, images, descriptions, or reviews), you grant Makroy a worldwide, perpetual, irrevocable, royalty-free, and sublicensable license to use such content for operational, marketing, and promotional purposes.

1.8

Makroy may launch, modify, suspend, or discontinue any feature or service of the Platform at any time without prior notice.

2. User Accounts

2.1

Users may create a primary account and, where permitted, sub-accounts. Makroy may suspend or terminate accounts if it reasonably believes multiple accounts are being used to bypass Platform rules.

2.2

Upon account creation, you are responsible for setting a secure password.

2.3

You are solely responsible for maintaining the confidentiality of your account credentials. You must not share your account details with any third party.

2.4

All activities conducted under your account are deemed authorized by you. You accept full responsibility for any misuse.

2.5

Makroy may restrict, suspend, or terminate your account at any time for violation of these Terms or for any lawful reason.

3. User Responsibilities

3.1

You represent and warrant that:

• You have the authority to accept these Terms

• All information provided is accurate and up to date

• Your content does not infringe intellectual property or legal rights

• Your products are authentic, lawful, and non-counterfeit

• You are legally permitted to sell and distribute listed products

• You are not subject to sanctions, embargoes, or legal restrictions

3.2

You agree that your content will not:

• Be false, misleading, or unlawful

• Contain offensive, defamatory, or discriminatory material

• Violate any applicable law or Makroy policy

• Promote illegal or harmful activities

3.3

You further agree that you will not:

• Engage in fraud, impersonation, or manipulation

• Misuse platform data or user information

• Copy or redistribute Platform content without authorization

• Engage in spamming, phishing, or malware distribution

• Conduct off-platform solicitation using Platform data

3.4

Makroy may remove listings or suspend accounts for actual or suspected violations.

4. Transactions Between Buyers and Sellers

4.1

Makroy provides a technology platform only and is not a party to transactions between Buyers and Sellers unless explicitly stated.

4.2

Sellers are responsible for product quality, legality, delivery, and compliance with the Return & Refund Policy.

4.3

Approved returns must be accepted within the timelines specified by Makroy. Failure to collect returned items may result in disposal or resale.

4.4

Buyers acknowledge that purchases are made at their own risk and that Makroy is not liable for Seller actions or omissions.

4.5

Makroy does not guarantee product availability, delivery timelines, or Seller performance.

4.6

Makroy may assist in dispute resolution but does not guarantee outcomes.

5. Third-Party Services

5.1

Makroy may provide access to third-party services (payment gateways, logistics, financing). These services are governed by third-party terms.

5.2

Makroy is not responsible or liable for third-party services.

5.3

Additional fees may apply and will be disclosed where applicable.

6. Liability and Indemnity

6.1

The Platform and services are provided “as is” and “as available.”

6.2

You agree to indemnify and hold harmless Makroy, its affiliates, directors, and employees from any claims or losses arising from your use of the Platform or violation of these Terms.

6.3

Makroy shall not be liable for indirect, incidental, consequential, or punitive damages, including loss of profits or data.

7. Cooperation with Authorities

Makroy may cooperate with legal and regulatory authorities and disclose user information where required by law. You waive any claims against Makroy arising from such disclosure.

8. Force Majeure

Neither party shall be liable for failure to perform due to events beyond reasonable control, including natural disasters, pandemics, or government actions.

9. Intellectual Property

9.1

“Makroy” and all related trademarks, logos, and content are the exclusive property of Makroy.

9.2

Unauthorized use of Makroy intellectual property is strictly prohibited.

9.3

IP infringement claims may be reported to Makroy’s designated legal contact.

10. Notices

All legal notices to Makroy must be sent in writing via email or registered mail to the official contact details published on the Platform.

11. General Provisions

11.1

These Terms constitute the entire agreement between you and Makroy.

11.2

No partnership, agency, or employment relationship is created.

11.3

Invalid provisions shall not affect the enforceability of remaining clauses.

11.4

Failure to enforce any right does not constitute a waiver.

11.5

Makroy may assign these Terms without notice. You may not assign without written consent.

11.6

These Terms are governed by the laws of the United Arab Emirates, and disputes shall be subject to the exclusive jurisdiction of the courts of Dubai.
